1.5 “User”, “Customer” or “you”. means any person or legal entity accessing or using the Website, Platform
or Services.
1.6 “User Data”. means operational data, business information, documents, measurements, personal data
and other material submitted or authorized by the User.

This Carbon Calculation & GHG Methodology Disclaimer (“Disclaimer”) governs the use of carbon, greenhouse
gas (“GHG”), emissions, environmental and sustainability calculations, estimates, reports and related outputs
provided by EnviroWealth Services Pvt. Ltd. (“EnviroWealth”, “we”, “us” or “our”) through its website, Carbon
OS, software, dashboards, consulting engagements, reports, calculators and related services.
1. PURPOSE AND SCOPE
EnviroWealth provides tools and professional services intended to support the measurement, management and
reporting of GHG emissions and related environmental information. Outputs may include organizational GHG
inventories, Scope 1, Scope 2 and Scope 3 estimates, product carbon footprints, life -cycle assessments,
emission -factor calculations, carbon -intensity metrics, ESG indicators, CBAM -related calculations and other
sustainability analyses.
This Disclaimer applies unless a signed proposal, statement of work, methodology note, verification statement
or other written contractual document expressly states different terms for a particular engagement.
2. METHODOLOGY FRAMEWORKS
Depending on the engagement, EnviroWealth may use or reference recognized standards, methodologies,
emission -factor databases, regulatory guidance and client -specific calculation protocols. These may include the
GHG Protocol, ISO 14064 -1, ISO 14067, applicable IPCC guidance, relevant national or sector -specific factors,
regulatory methodologies and other documented sources.
The GHG Protocol Corporate Standard provides requirements and guidance for corporate -level GHG
inventories, while ISO 14064 -1 specifies principles and requirements for organization -level quantification and
reporting of GHG emissions and removals.

3. INPUT DATA AND CLIENT RESPONSIBILITY
The accuracy of an output depends materially on the completeness, consistency, quality and traceability of the
underlying data. Unless expressly included in the scope of work, EnviroWealth does not independently audit
every client -provided activity record, invoice, meter reading, production quantity, fuel record, utility statement,
procurement record, supplier dataset or other source document.

4. EMISSION FACTORS AND DATABASES
Emission factors may vary by geography, technology, fuel, grid, process, product, time period, database
version and methodological boundary. An emission factor is not necessarily transferable between projects or
reporting periods.
Where a factor is updated, corrected, withdrawn or superseded by its publisher or relevant authority, the
resulting calculation may change. Historical results should therefore be interpreted with reference to the factor
source and version used.
5. BOUNDARIES, SCOPES AND ALLOCATION
GHG results depend on organizational and operational boundaries, consolidation approach, life -cycle
boundary, reporting period, materiality thresholds and allocation rules. Product -level or process -level
calculations may require allocation of shared energy, materials, utilities, waste, transport or other burdens.
Different reasonable boundary or allocation choices can produce different results. The selected methodology
and assumptions should therefore be reviewed before comparing outputs across entities, products, facilities or
reporting periods.
6. ESTIMATES, ASSUMPTIONS AND UNCERTAINTY
Carbon calculations are subject to uncertainty arising from measurement limitations, incomplete information,
emission -factor uncertainty, modeling assumptions, temporal variation, estimation methods and data quality. A
numerical result should not be interpreted as an exact physical measurement unless the underlying
measurement system supports that conclusion.
7. SOFTWARE AND AUTOMATED CALCULATIONS
Carbon OS and other EnviroWealth tools may automate calculations, data transformations, validations,
classifications, factor selection or reporting. Automation is intended to improve consistency and efficiency but
does not eliminate the need for professional review.
Users must review material assumptions, inputs, boundaries and outputs before using a result for regulatory
filings, customer declarations, investment decisions, public claims, contractual representations or other
consequential purposes.
8. VERIFICATION AND ASSURANCE
An EnviroWealth calculation, report or software output is not, by itself, an assurance statement, verification
opinion, certification or accreditation. Where independent validation or verification is required, it should be
performed by an appropriately qualified and authorized third party under the applicable scheme or standard.
References to an auditor, verifier, assurance provider, ACV/ACVA, certification body or other external reviewer
shall not be interpreted as an endorsement or guarantee by EnviroWealth unless expressly stated in writing.
9. REGULATORY AND SCHEME -SPECIFIC USE
Regulatory schemes and carbon -market methodologies can impose specific eligibility, monitoring, reporting,
verification, additionality, baseline, leakage, permanence, double -counting and documentation requirements. A
calculation prepared for one purpose or methodology may not satisfy another.
For India's Carbon Credit Trading Scheme (“CCTS”), users should rely on the current requirements, procedures
and methodologies issued by the competent authorities. BEE currently publishes separate detailed procedures
and approved offset methodologies under the CCTS framework.

10. NO GUARANTEE OF CARBON CREDITS
A calculated emissions reduction, avoidance, removal or other environmental benefit does not automatically
constitute an issued carbon credit. Credit issuance depends on the applicable registry, standard or government
mechanism and satisfaction of its eligibility, monitoring, validation, verification, issuance and other
requirements.
11. NO INVESTMENT OR FINANCIAL ADVICE
Carbon calculations and environmental information are not investment, securities, tax, legal or financial advice.
Any commercial value attributed to a carbon credit, environmental attribute or emissions reduction may change
and should be independently assessed.
12. CHANGES AND CORRECTIONS
EnviroWealth may correct calculation errors, update methodologies, revise emission factors, improve software
logic or restate results where new or better information becomes available. Where a contractual engagement
specifies a change -control or versioning process, that process will apply.
13. LIMITATION OF RELIANCE
Except to the extent expressly agreed in a written contract, users should not rely solely on an EnviroWealth
output for legal compliance, regulatory submission, financial valuation, carbon -credit acquisition, public
environmental claims or other high -consequence decisions without appropriate independent review.

These Carbon Credit / Marketplace Terms (“Marketplace Terms”) govern access to and use of any carbon -
credit, environmental -attribute, project, listing, marketplace, brokerage, transaction -support or retirement -
related functionality made available by EnviroWealth Services Pvt. Ltd. (“EnviroWealth”, “we”, “us” or “our”).
These terms supplement the EnviroWealth Terms and Conditions, Privacy Policy and other applicable policies.
If a transaction -specific agreement expressly conflicts with these Marketplace Terms, the transaction -specific
agreement will govern for that transaction.
1. NATURE OF THE MARKETPLACE
EnviroWealth may provide a technology and information platform through which eligible users can discover,
evaluate, list, request, purchase, transfer, retire or otherwise transact in carbon credits or related environmental
attributes, subject to the applicable project, registry, standard, government mechanism and transaction
structure.
The availability of a listing does not mean that EnviroWealth has independently certified the underlying project,
verified every project claim, guaranteed issuance or endorsed the project.
2. CARBON CREDITS AND ENVIRONMENTAL ATTRIBUTES
A carbon credit generally represents a quantified unit associated with a greenhouse -gas reduction, avoidance
or removal under a particular standard, program, registry or mechanism. The legal, contractual and
environmental characteristics of a unit depend on the applicable framework.
Credits may differ in standard, methodology, project type, vintage, geography, registry, status, serial number,
verification status, co -benefits, eligibility for particular claims and eligibility for particular regulatory or voluntary
uses.
3. LISTINGS AND PROJECT INFORMATION
Project developers, suppliers or other authorized parties may provide information displayed in a listing. Such
information may include project description, methodology, vintage, estimated or issued quantity, project
documentation, registry information, pricing and other attributes.
Users are responsible for reviewing the information and documents relevant to a transaction. EnviroWealth may
request additional evidence, reject a listing, suspend a listing or require corrections where information appears
incomplete, inconsistent or unsuitable for marketplace use.
4. ELIGIBILITY AND DUE DILIGENCE
EnviroWealth may conduct commercial, documentary, technical or compliance checks before permitting a
project, supplier, buyer or transaction to proceed. The scope of such checks may vary by product, transaction
size, risk and applicable law.
Due diligence performed by EnviroWealth does not constitute a guarantee that a project, credit or
environmental claim will remain valid, eligible or commercially valuable.

5. REGISTRY, ISSUANCE AND OWNERSHIP
Where credits are issued or tracked through a registry, ownership, transfer, retirement and serial -number status
may be determined by that registry and its applicable rules. A marketplace display, reservation or transaction
record should not be treated as equivalent to registry ownership unless expressly confirmed.
A buyer may be required to complete applicable account, identity, corporate authorization, registry, KYC/KYB or
other requirements before transfer or retirement.
6. PRICING
Prices may be quoted per credit, per tonne of CO2e, per project lot or under another transaction structure.
Prices may change at any time before a transaction is accepted or completed unless expressly locked in
writing.
Displayed prices may exclude applicable taxes, registry charges, verification costs, brokerage or service fees,
banking charges, payment processing costs or other transaction expenses unless the listing expressly states
otherwise.
7. ORDERS AND TRANSACTIONS
Submitting an order, request or expression of interest does not necessarily create a binding sale. A transaction
becomes binding only when the applicable acceptance, confirmation, payment and other contractual conditions
are satisfied.
EnviroWealth may decline, suspend or cancel a transaction where required information is unavailable, a project
or credit becomes ineligible, registry status changes, compliance concerns arise, payment fails, fraud is
suspected, the transaction would violate applicable law, or a material error is identified.
8. PAYMENT AND TAXES
Users must pay all amounts due under the applicable order or invoice within the stated payment period.
Applicable taxes, duties, levies or withholding obligations are the responsibility of the party legally required to
bear them.
Unless expressly agreed otherwise, payment processing does not transfer any greater rights in a carbon credit
than those actually transferred under the applicable transaction and registry arrangements.
9. DELIVERY, TRANSFER AND RETIREMENT
Delivery may occur through registry transfer, account transfer, retirement, certificate or another documented
mechanism appropriate to the transaction. The timing of delivery may depend on registry processing,
verification, account approvals and other third -party systems.
Retirement generally removes a credit from further transfer and is normally used to support a retirement claim.
A retired credit should not subsequently be represented as available for sale or transfer.
10. CLAIMS AND REPRESENTATIONS
Users must not make environmental or climate claims that are inaccurate, misleading, unsupported or
inconsistent with the applicable standard, registry rules, contractual rights or applicable law.
Purchase of a carbon credit does not automatically establish that the purchaser has achieved net -zero status,
carbon neutrality or any other particular environmental outcome. The appropriate claim depends on the credit
characteristics, claim framework, accounting treatment and applicable requirements.

11. ADDITIONALITY, BASELINES AND ENVIRONMENTAL INTEGRITY
Project -level attributes such as additionality, baseline selection, leakage, permanence, monitoring and
quantification are determined under the applicable methodology or program. EnviroWealth does not
independently redefine those criteria through the marketplace.
Where a project is subject to a recognized methodology or government mechanism, the applicable
methodology and program documents take precedence over a general marketplace description.
12. DOUBLE COUNTING AND DUPLICATE CLAIMS
Users must not knowingly claim, sell, transfer, retire or otherwise represent the same environmental attribute in
a manner that results in prohibited double counting or duplicate claims. Users are responsible for complying
with applicable registry and claim requirements.
13. CCTS AND REGULATED MARKETS
Where a credit or project is represented as relevant to India's Carbon Credit Trading Scheme (“CCTS”), users
must independently confirm its eligibility under the current CCTS framework, applicable methodologies,
procedures, registry requirements and competent -authority decisions.
BEE currently publishes detailed CCTS procedures and approved offset methodologies, including
methodologies covering renewable electricity, hydrogen, industrial energy efficiency and fuel switching, landfill
methane, agriculture and forestry.

A voluntary -market carbon credit should not be represented as a CCTS certificate, compliance instrument or
otherwise eligible CCTS unit unless that status has been established under the applicable framework.
14. MARKET AND PRICE RISK
Carbon -credit prices can vary due to project characteristics, methodology, vintage, market demand, regulation,
eligibility, supply, registry status and other factors. EnviroWealth does not guarantee future prices, liquidity,
resale value or financial returns.
15. NO INVESTMENT ADVICE
Marketplace information is provided for informational and transactional purposes and does not constitute
investment, securities, tax, legal or financial advice. Users should obtain independent professional advice
where required.
16. SUSPENSION AND TERMINATION
EnviroWealth may suspend or terminate marketplace access, listings or transactions where required for
security, compliance, fraud prevention, legal requirements, technical reasons or protection of users and
platform integrity.
Termination does not automatically cancel obligations that accrued before termination or obligations that by
their nature should survive termination.
17. FRAUD, MISREPRESENTATION AND PROHIBITED CONDUCT

18. THIRD -PARTY REGISTRIES AND SERVICE PROVIDERS
Transactions may depend on third -party registries, verification bodies, payment providers, banks, technology
providers or other service providers. Their terms, processing times, availability and decisions may affect a
transaction.
EnviroWealth is not responsible for an external registry or service provider's independent acts, omissions,
downtime, processing decisions or rule changes, except to the extent liability cannot lawfully be excluded.
19. DISCLAIMERS
To the maximum extent permitted by applicable law, marketplace information and services are provided on an
“as available” basis. EnviroWealth does not warrant uninterrupted availability, absolute accuracy of third -party
information, future eligibility, market value, liquidity, issuance, verification or successful completion of every
transaction.
20. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, EnviroWealth will not be liable for indirect, incidental,
special, consequential or loss -of-profit damages arising from market movements, third -party registry actions,
project underperformance, changes in eligibility, changes in law, loss of market value or inability to transact,
except where such limitation is prohibited by law or expressly modified by a written agreement.
21. INDEMNITY
A user may be required to indemnify EnviroWealth against losses, claims, penalties, costs or liabilities arising
from the user's breach of these Marketplace Terms, unlawful conduct, inaccurate representations, unauthorized
claims, misuse of credits or violation of third -party rights, subject to applicable law and any contractual
limitations.
22. GOVERNING LAW AND JURISDICTION
These Marketplace Terms shall be governed by the laws of India. Subject to mandatory applicable law and any
transaction -specific dispute -resolution clause, courts having jurisdiction at Surat, Gujarat, India shall have
jurisdiction.
23. CHANGES TO THESE TERMS
EnviroWealth may update these Marketplace Terms to reflect changes in law, market infrastructure, registry
requirements, products, security measures or business practices. The updated version will be published with a
revised Effective Date.
